Nissan Repair: maxima grinding noise, gears, maxima

hey Darrel,
I have a 97 maxima 5spd with about 150kmi. In 2nd and 3rd gear, between 3-4000rpm, it sometimes makes a noise that sounds like gears slipping or grinding over each other. I've had the car for a year and a half with no major problems or repairs. Any advice?

I need more info.

When you shift from 2nd to 3rd the grinding occurs?
   This means the clutch needs adjustments. (If its standard)
OR

When your ALREADY IN 2nd or 3rd the grinding occurs?   
    This sounds as if your gears are stripped in the tranny.  If this is the case the tranny needs to be replaced or rebuilt.
