Does $40,200 for an 06 Mercedes E350 4dr sedan sound like a good deal?  Kelly bb lists at $42,450.  Interest rate is 5.9 for 60 mos.

You did not state the miles.
If vehicle has got less than 18K then its a fair asking price...There are many sites where you can check value for low - average and high, I recommend autotrader and enter any distance, you will find same car to compare asking prices.
If I knew your location options and miles on vehicle I could be more to the point giving you a value what a dealer will pay, has vehicle got a clean title ? and is there a link where I can view this car ?

5.9% for 60 mos. is a good rate for a used vehicle.

I must confess I am not a Mercedes fan their rating in todays market is sub-par.
Back in the 80's they ruled with an excellent product but today its just the label your buying.
