Car Alarms: 2005 Matrix stock alarm preventing car from starting?, valet mode, dashboard lights

When I got in my Matrix after work yesterday I got a surprise when I found I couldn't get it to start.  When I turn the key in the ignition and try to crank the engine, I hear a rapid clicking sound under the hood, and then the horn starts to honk, but it sometimes sounds sort of weak and muffled.  I don't know exactly how but I usually manage to get the alarm to stop between locking/unlocking the door, or using the keychain fob.  When it does finally stop, the dashboard lights (gauges, radio, clock, etc) all flash off and on and click almost like a turn signal.  I'm not sure if the alarm's tripped and keeping it from starting or if there's some sort of electrical problem.  I've noticed a few other postings with problems that sounded similar to mine, which suggested putting the alarm system into 'valet mode', but I haven't been able to figure that out.  I have two lights for the alarm system below and the the left of the steering column.  One is just a red light with a label that says "security" and a silhouette of the car.  The other is just a red, two-state pushbutton.  Both lights are flashing slowly at the moment.  I honestly don't know what either of them do as I've never been able to find mention of them in my manuals. Any help would be greatly appreciated, since I can't seem to get the Toyota dealer to either answer the phone or call me back.

 You are dealing with 2 separate systems.
1 the factory/OEM transponder over ride,
& the other is an after market system.
Both seemed armed. However I can't go into
a full length explanation here on this volunteer
site.

As far as how to disable & reset these, I will have to
differ this inquiry to my friend Robert in my
